This Partner Agreement (“Agreement”) governs your participation in the CRTX Agent + Command Center Partner Program (“Program”). The Program is offered by The Executive Whisper, LLC, a Florida LLC doing business as Microsite Health (“Microsite Health,” “we,” “us”). By applying to or participating in the Program, you (“Partner,” “you”) accept these terms. If you are signing on behalf of an entity, you warrant that you have authority to bind that entity.
Microsite Health may update this Agreement at any time; continued participation constitutes acceptance of changes.
You agree to provide accurate information in your application. Microsite Health may accept or reject any application at its sole discretion.
You agree to:
a. Follow all laws and regulations (HIPAA, privacy, advertising, etc.).
b. Adhere to Microsite Health’s Code of Conduct and Brand Guidelines.
c. Avoid deceptive or unethical practices.
d. Respect Microsite Health’s intellectual-property rights.
Violation may result in immediate termination and forfeiture of unpaid commissions.
3A. Earning Commissions
A commission is earned when a clinic (“Client”) subscribes to CRTX Agent + Command Center through your branded checkout or identifies you as its referring Partner.
3B. Commission Tiers
Seats 1-19: You earn $100 per active clinic per month.
Seats 20+ (held for 30 consecutive days): You earn $200 per clinic per month, retroactive to seat #1 for so long as you remain at or above 20 active clinics.
Commissions cease for any clinic that cancels within its first 30 days.
3C. Payout Terms
Commissions are calculated on revenue actually collected from Clients and paid via Bill.com on the 15 th of the month following collection. You must maintain an active Bill.com account.
4A. Brand Assets – You may brand the Partner Portal, Command Center interface, email templates, and Stripe checkout with your logo, color palette, and domain. You are responsible for providing correct assets.
4B. Approved Claims – All marketing statements must match the language in the Partner Toolkit. Material deviations require prior written approval.
4C. Pricing Integrity – The core subscription must be sold at $695/month unless Microsite Health gives written consent to a different price.
4D. Platform Attribution – You may market the product solely under your brand; however, you must not imply ownership of Microsite Health IP.
All rights in CRTX Agent + Command Center and Microsite Health Materials remain with Microsite Health. You receive a limited, revocable license to use those Materials solely to promote the Program.
Either party may terminate with 60 days’ written notice; Microsite Health may terminate immediately for breach, misuse of the platform, or HIPAA violation. Commissions accrue only through the notice period and are forfeited upon immediate-cause termination.
You are an independent contractor, responsible for your own taxes, insurance, and compliance. Nothing herein restricts you from other business activities, provided they do not conflict with this Agreement.
You will keep Microsite Health’s confidential information secret during and after the term.
You warrant that you will market ethically and comply with all laws. You are not aware of any legal impediment to this relationship.
Microsite Health’s aggregate liability under this Agreement will not exceed the commissions paid to you in the six months preceding the claim. Neither party is liable for indirect or consequential damages.
Florida law governs. Disputes will be resolved first through good-faith negotiation, then binding arbitration in Sarasota, Florida, under AAA rules. Class actions are waived.
Microsite Health may modify this Agreement on notice. If any provision is unenforceable, the rest remains in force. Notices must be in writing and sent to the email on file.
By applying to or continuing in the CRTX Agent + Command Center Partner Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
